Terms and Conditions of Sale

Scope of Application

These general terms and conditions of sale apply to all services provided by Clément, EI, registered office at 1 rue rouge paris, SIRET 902 123 456 00017, to any professional client who orders the “Reputation & Visibility Manager” retainer or any other package offered by the Agency. Placing an order implies full acceptance of these terms.

Price and Quotes

Prices are indicated in euros and detailed in a prior quote accepted by the client. VAT: TVA non applicable, article 293 B du CGI.

Payment Terms

Invoices are payable within the term stated on the quote or contract, by bank transfer or through the payment link provided by the Agency. Retainer packages are billed monthly in advance.

Late Payment Penalties

Any sum not paid on its due date will bear interest at three times the legal interest rate, in accordance with Article L441-10 of the French Commercial Code. A flat-rate indemnity of €40 for recovery costs will also be due, without prior notice, for every unpaid invoice between professionals.

Delivery Time

The onboarding and initial audit are completed within 5 business days of the start of the engagement. Ongoing services then run on a continuous weekly cycle, with monthly reporting to the client.

Intellectual Property

Content produced by the Agency under a retainer, such as posts, photos, replies, and reports, is transferred to the client upon full payment of the corresponding fees.

Termination

Any retainer package may be terminated by either party, subject to 30 days’ written notice by email or registered letter, without prejudice to sums already due.

Governing Law and Jurisdiction

These terms are governed by French law. Any dispute falls under the exclusive jurisdiction of the French courts, after an attempt at amicable resolution.

Consumer Mediation

The Agency’s services are provided exclusively to professional clients. Consequently, the consumer mediation scheme provided for by the French Consumer Code does not apply to the contractual relationship between the Agency and its clients.
